| Vice President & General Counsel. At MobiTV, Andy was responsible for overseeing the legal affairs of the company, including the structuring and negotiation of content license agreements with broadcast and cable television networks, major record labels, and other prominent media companies. In addition, Andy handled the negotiation of distribution agreements with wireless carriers, the management of the company’s intellectual property portfolio, and was also responsible for advising the Board and senior management on a wide range of corporate matters. |

| Vice President and General Counsel. At Replay, Andy played a prominent role in negotiating strategic relationships with OEM partners and structuring numerous technology and entertainment licensing deals. In addition, Andy played a key role in completing the sale of ReplayTV to Sonicblue, Inc. |
